1. Acceptance of Terms
By accessing the Lori website at loriagent.info, signing up for the early access waitlist, or using the Lori scheduling agent (the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Smart Agentics, LLC, a limited liability company organized in the State of North Carolina, that develops and operates Lori.
2. Description of Service
2.1 What Lori Is
Lori is an AI-powered scheduling coordination agent built for the executive office. Lori operates within Microsoft 365 to help executives, chiefs of staff, and executive assistants coordinate meetings by reading email threads where scheduling assistance is requested, communicating with participants, following up with those who haven't responded, and booking confirmed meetings directly into Outlook with Microsoft Teams links.
Lori is a specialized scheduling agent. It is not a general-purpose AI assistant, email client, or calendar application.
2.2 Current Status
Lori is currently in early access. The Service is being offered to a limited number of users through an invitation-based waitlist.
2.3 Service Components
The Service includes the Lori scheduling agent (via email integration with Microsoft 365), the product application at loriagent.ai, the marketing site at loriagent.info, web-based meeting confirmation pages, an administrative dashboard, and email-based feedback submission.
3. Early Access Terms
By participating in early access, you acknowledge and agree to the following:
- The Service is under active development. Features, functionality, and capabilities may change at any time without prior notice.
- No service level agreement (SLA) is provided. We will make reasonable efforts to maintain availability but do not guarantee uptime or response times.
- Pricing has not been finalized. The early access period may be free of charge. You will not be charged without your explicit consent.
- Data handling during early access. We retain scheduling data and operational logs to improve the Service. See our Privacy Policy for details.
- Access may be limited or revoked at our discretion to manage capacity or address issues.
- Feedback is welcome. Feedback you provide may be used to improve the Service, and you grant us a non-exclusive, royalty-free license to use it for product development.
4. Eligibility
To use the Service, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have a Microsoft 365 business or education account (personal Microsoft accounts and non-Microsoft email providers are not supported)
- Have the authority to grant Lori access to the Microsoft 365 account you connect
- Have the authority to bind your organization to these Terms, if applicable
5. Account Registration and Security
To use Lori, you must create an account by authenticating through Microsoft 365 OAuth. You are responsible for maintaining the security of your Microsoft 365 credentials, ensuring only authorized individuals access Lori through your account, and promptly notifying us at info@smartagentics.ai if you believe your account has been compromised.
You agree to provide accurate, current, and complete information during registration and onboarding.
6. Microsoft 365 Authorization
When you connect Lori to Microsoft 365, you grant Lori specific permissions through Microsoft's OAuth authorization flow. These include the ability to read and write your email, send email on your behalf, and read and write your calendar. A complete list of permissions is provided in our Privacy Policy.
Lori only accesses Microsoft 365 data relevant to scheduling coordination. It does not access files, documents, OneDrive storage, or unrelated email messages.
You may revoke Lori's access at any time through your Microsoft account settings at myapps.microsoft.com.
7. Acceptable Use
You agree to use the Service only for its intended purpose: coordinating and scheduling meetings within a professional business context. You agree to use Lori only with authorized Microsoft 365 accounts, ensure that meeting participants are legitimate business contacts, provide accurate scheduling preferences, and review meetings scheduled by Lori — particularly during early access.
8. Prohibited Conduct
You agree not to:
- Use Lori to send spam, unsolicited messages, or unauthorized communications
- Reverse engineer, decompile, or disassemble the Service or its AI models
- Attempt to circumvent security measures, rate limits, or access controls
- Interfere with the Service's infrastructure or other users' access
- Use the Service for illegal purposes or in violation of any applicable law
- Impersonate another person or entity
- Scrape, harvest, or extract data from the Service for unrelated purposes
- Use the Service to test or probe the security of any systems
- Share, resell, or redistribute access without our written permission
9. Intellectual Property
The Service — including the Lori scheduling agent, its AI models, algorithms, software, website, branding, and all related intellectual property — is owned by Smart Agentics and protected by United States and international intellectual property laws.
You retain all rights to the data you provide to Lori. By using the Service, you grant Smart Agentics a limited, non-exclusive license to process your data solely for the purpose of delivering the Service.
If you submit feedback, you grant Smart Agentics a non-exclusive, royalty-free, perpetual, worldwide license to use and incorporate that feedback into the Service.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Key points:
- We do not sell your personal information.
- We do not use your data to train AI models.
- You control your Microsoft 365 access and can revoke Lori's permissions at any time.
- You can request deletion of your data by contacting info@smartagentics.ai.
11. Third-Party Services and Dependencies
Lori operates within and depends upon Microsoft 365 services. Smart Agentics is not responsible for Microsoft 365 outages, changes to Microsoft's APIs, or actions by your organization's IT administrators that restrict Lori's access. Lori is an independent third-party application and is not affiliated with, endorsed by, or sponsored by Microsoft.
Lori also uses OpenAI's API for email processing and additional third-party services for hosting, database management, and error monitoring as described in our Privacy Policy.
12. Fees and Payment
During the early access period, the Service may be provided free of charge. When paid plans become available, we will clearly communicate pricing and billing terms. You will not be charged without your explicit consent. Lori may offer multiple subscription tiers with different feature sets.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Lori will correctly interpret every scheduling request, that meetings will be error-free, or that AI processing will be accurate in all cases. You are responsible for reviewing and confirming meetings scheduled by Lori.
14. Limitation of Liability
To the maximum extent permitted by law, Smart Agentics shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill.
In no event shall Smart Agentics' total aggregate liability exceed the greater of: (a) the total fees you paid to Smart Agentics in the twelve months preceding the claim, or (b) one hundred US dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Smart Agentics from claims arising out of your use of the Service in violation of these Terms, your violation of any law or third-party right, any data you provide through the Service, scheduling actions you failed to review or correct, and unauthorized use of your account due to failure to maintain security.
16. Termination
16.1 Termination by You
You may stop using the Service at any time. To formally close your account, revoke Lori's access through your Microsoft 365 settings and email info@smartagentics.ai to request account deletion.
16.2 Termination by Us
We may suspend or terminate your access at any time if you violate these Terms, your continued use poses a security risk, we discontinue the Service, or we are required to do so by law.
16.3 Effect of Termination
Upon termination, your right to use the Service immediately ceases. We will delete your personal data in accordance with our Privacy Policy. Meetings already booked in your Outlook calendar will remain (they are stored by Microsoft, not by Lori). Sections that by their nature should survive termination will survive.
17. Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, United States. Before initiating any formal dispute resolution, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. If informal resolution is unsuccessful, any legal action shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina.
To the maximum extent permitted by law, you agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
18. General Provisions
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Smart Agentics.
- Waiver: Our failure to enforce any right shall not be deemed a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or acquisition.
- Modifications: We may modify these Terms at any time. For material changes, we will notify active users at least 14 days before changes take effect.
- Force Majeure: Smart Agentics shall not be liable for failure or delay due to causes beyond its reasonable control.
